Constitution & Bylaws

Article I: NAME

A. The name of the association shall be the Denison Athletic Booster

Club, Inc. (DABC or association)

B. This organization shall be reorganized annually.

                              Article II: PURPOSE

A. This association shall support, encourage and advance the athletic program of Denison Independent School District (DISD). The Association shall cultivate school spirit, good sportsmanship, and a devotion to endeavors of all student athletes.

B. This association shall promote projects to enhance the facilities and the athletic program of DISD.

1. The DABC general fund will exist for the sole purpose of supporting approved requests from any and all DISD athletic programs and approved by the DABC Executive Board. Amended 03/23/2009

C. The Denison Athletic Booster Club (DABC) executive board will function as the decision making core of the DABC. Amended 03/23/2009

D. This association shall not seek to influence or direct the policies of the Administration or of the school officials who are conducting the athletic program.

E. This association will not knowingly violate the rules of the University Interscholastic League (UIL) or in any way jeopardize the membership of the school district in said athletic association.

Article III: MEMBERSHIP

A. Any person interested in the purpose for which this association is formed shall be eligible for membership upon payment of the annual dues.

B. The dues of this association shall be the determined by the current board.

Article IV: OFFICERS & THEIR DUTIES Revised 04/06/2009

A. The officers of the association shall be President, Vice President Pro tem, Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer and Sergeant at Arms. Amended 03/23/2009

B. The Executive Committee shall consist of the officers of the Booster Club and the Director of Athletics and may resolve urgent matters.

C. A nominating committee shall consist of, a committee selected by the President. Amended w/o date

D. The President shall preside at all meetings of the DABC and all meetings of the Board of Directors, shall serve as the Chief Executive Officer of the DABC, shall be an ex-officio member of all standing and special committees, and shall perform such other duties as are normally associated with the office of President.

E. The Vice President shall perform such duties a may be assigned by the President, shall otherwise assist the President in the performance of the President’s duties, and shall preside at meetings in the absence of the President.

F. The Secretary shall have custody of the Constitution and By-Laws, and all other records of the DABC, shall keep an accurate record of the meetings and other activities of the DABC and of the Board of Directors, shall be responsible for all correspondence on behalf of the DABC, and shall transmit all records and correspondence to any person elected to succeed him or her in that office.

G. The Assistant Secretary shall perform such duties as may be assigned by the Secretary, shall otherwise assist the Secretary in the performance of the Secretary’s duties, and shall serve in the absence of the Secretary.

H. The Treasurer shall receive and disburse all funds with the approval of the Board of Directors, shall keep an accurate account of all funds received and disbursed for the DABC, shall submit a financial report at all regular meetings and at such other times as may be requested by the President, shall compile an annual report of the DABC’s Finances, shall provide the books of the club and other such documentation as requested for the annual audit, and shall transmit all financial records to any person elected to succeed him or her in that office.

I. The Assistant Treasurer shall perform such duties as may be assigned by the Treasurer, shall assist the Treasurer in the performance of the Treasurer’s duties, and shall serve in the absence of the Treasurer of the Treasurer.

J. The Sergeant at Arms will serve as an officer of the DABC who is duly authorized to preserve order and oversee the conduct of the membership in

attendance at each meeting. The Sergeant at Arms will have the legal right to use such force as is necessary to remove any disruptive offender from meetings, and no more. This action shall be taken only as a last resort.

ARTICLE V: EXECUTIVE BOARD

A. The Executive Board is defined as the President, Vice President Pro tem, Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer and Sergeant at Arms. Amended 03/23/2009

B. All decisions regarding expenditures, meeting dates, special needs, banquets, meals, fundraisers and business dealing in any way with promotion of Denison Independent School District (DISD) athletics and individual sports must be approved by the executive board. Amended 03/23/2009

C. All financial transactions are recorded through existing accounts of the DABC and are under the decision making control of the executive board. Amended 03/23/2009

ARTICLE VI: ELECTION & TERMS OF OFFICE

A. Officers shall be elected at the 1st general meeting in April by a majority vote of members present. Amended 3-3-1997

B. Each officer shall serve a one year term.

C. The President and other officers may be elected to consecutive terms. Amended 3-3-1997

D. The President can serve 2 consecutive terms. Amended 2004

ARTICLE VII: MEETINGS

A. Club meetings shall be held weekly, beginning the third week of August and extending through November. Thereafter meetings shall be held monthly.

B. Meetings, other than monthly meetings, will conducted upon call of the President and one of the six (6) remaining officers.

C. A majority of the officers present at a scheduled meeting shall constitute a quorum for the transaction of business.

ARTICLE VIII: COMMITTEES

All committee chairpersons shall be appointed by the President, subject to the final approval of the membership convened in a scheduled meeting. Revised 04/06/2009

ARTICLE IX: RELATIONSHIP WITH ATHLETIC DIRECTOR/COACHING STAFF

The Athletic Director (AD) will attend the meetings and act as official liaison between DISD and the DABC. In May of each year, the AD shall present the DABC with the proposed budget request for the upcoming year. The proposed budget request will be used as a guideline by the incoming officers and incorporated into their fund raising goals. All other requests for DABC assistance must be approved by the AD, prior to submission.

ARTICLE X: SUPPORT CLUBS

A. Individual sports may create an organization of parents and interested persons to specifically promote that particular sport. This club shall be under the sponsorship of the head coach.

B. The single sport booster club will function under all existing bylaws of the DABC. Amended 03/23/2009

C. All Individual Booster Club meetings will be held on the same night as DABC general meeting at location obtained by the DABC, unless approved by the DABC executive board at least 10 days prior to the requested change for location. Amended 03/23/2009

D. The individual booster clubs will be in charge of setting up their end of season awards assemblies and concession stands (if needed). Amended 03/23/2009

E. Special projects being pursued by a single sport booster club, have to follow existing protocols regarding purchasing (below). Amended 03/23/2009

1. Coach must submit request to the Denison High School Athletic Director (AD) for evaluation. Amended 03/23/2009

2. If approved by the AD, the request must be forwarded to the DISD Assistant Superintendent over finance for approval. Amended 03/23/2009

3. Lastly the request must be given to the DABC executive board for a vote to decide the requests outcome. Amended 03/23/2009

4. If approval and support are given by all parties, the order is placed per DISD’s existing process and payment made for the request by DISD. Amended 03/23/2009

5. The DABC will send a check for the amount approved to DISD for the approved amount. Amended 03/23/2009

F. Any individual booster club fundraisers being approved by the executive board must be approved by the AD and DISD administration through the process above. Amended 03/23/2009

G. The DABC will continue to purchase and provide concession product needs to the individual booster clubs. It is the responsibility of the individual booster clubs to contact the DABC concession committee representatives 1 week prior to the event they will be hosting. Amended 03/23/2009

H. All proceeds realized from any concessions, special events (golf tournament, etc.) soft goods, and programs will be deposited into the DABC general fund. Amended 04/06/2009

ARTICLE XI: AMENDMENTS

This constitution and bylaws may be amended at any regular meeting of the club by a two thirds (2/3) vote of the members present. Notice of the intended change must be given at the meeting one month previous.
